快科技4月28日消息,近日,环球音乐收到了来自华尔街“小巴菲特”比尔·阿克曼旗下潘兴广场的一份天价收购要约,并计划推动环球音乐在纽交所再次上市。
该提案计划以现金加股票的方式收购,对环球音乐的估值高达约640亿美元,约合每股30.40欧元,这一价格相较于提案公布前环球音乐每股17.10欧元的收盘价,溢价高达78%。
环球音乐作为全球最大的音乐版权公司,拥有世界级的艺人阵容,包括:泰勒·斯威夫特、贾斯汀·比伯、披头士、滚石、周杰伦、张学友、陈奕迅等。
不过,这家在全球录制音乐市场约占三分之一份额的老牌音乐巨头,过去一年股价跌了26%。
据了解,早在2021年,环球音乐从法国维旺迪集团(Vivendi)分拆并在阿姆斯特丹上市前,潘兴广场就曾尝试通过其SPAC公司进行收购,但因监管审查作罢。
随后,潘兴广场直接入股,成为环球音乐的大股东之一,阿克曼也一度进入董事会,但于2025年5月辞职。
近年来,潘兴广场已将其持股比例从最初的10%削减至约4.7%。
而阿克曼出价640亿美元背后最核心的估值逻辑:环球音乐不应该继续被当作一家传统欧洲娱乐公司来估值,而应被视为一家拥有全球顶级内容供给、长期收费能力和强版权壁垒的稀缺平台型资产。
